Dashboard 4 CPA terms of use

Software: GPS4CPA Dashboard based on Power BI (the “Software”), also referred to as Dashboard 4 CPA.
These license terms constitute an agreement between Silver Sea Enterprise LLC (“PROVIDER,” “we,” “us”) and the customer of Dashboard 4 CPA (“Customer,” “you”).
THESE LICENSE TERMS TAKE EFFECT WHEN YOU DEPLOY, INSTALL, ACCESS, OR USE THE SOFTWARE. BY DOING SO, YOU INDICATE YOUR CONSENT TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT DEPLOY, INSTALL, ACCESS, OR USE THE SOFTWARE.
Upon acceptance, you receive the rights set out below.
Installation and use rights
You may deploy and use one instance of the Software within your Microsoft Power BI tenant for your internal business purposes. The Software requires network connectivity to operate and to refresh data. It must be installed and configured in accordance with the system requirements for the version you deploy, including:
- An active Microsoft Power BI license (Pro or Premium capacity) for sharing, as applicable.
- Access to the source SQL database (for example, CCH Axcess Data Axcess Utility or Practice CS) and any required credentials and permissions.
- A Microsoft On-premises Data Gateway for on-premises sources.
Failure to meet system requirements or to maintain required third-party licenses and permissions may prevent the Software from working as intended and constitutes a breach of these terms.
The license is limited, non-exclusive, non-transferable, and non-sublicensable, and authorizes use only for your internal business purposes within your tenant. The Software is implemented within your Microsoft tenant and is not provided as a Silver Sea-hosted cloud service. The Software may require you to keep Microsoft components (Power BI Desktop/Service, gateways) within supported versions to remain compatible.
Features
Features depend on the version and plan you select and on the capabilities and versions of your connected systems. Some features may not be available with certain source systems or configurations. Representative capabilities include:
- Centralized, automated data preparation (ETL) that replaces fragmented spreadsheets with interactive dashboards and decision-ready KPIs.
- A Firm Overview experience with trend and variance monitoring and drill-through to transaction-level detail.
- CCH Axcess integrations and automations that support intake, record synchronization, and automated reporting.
- Practice-management and operations insights covering team productivity and operational health, with KPI alerts and interactive exploration.
- Implementation patterns on the Microsoft Power Platform (Power BI, Power Automate, Power Query, Power Apps).
Scope of the license
The Software is licensed, not sold. This agreement grants limited rights to use the Software; all other rights are reserved by PROVIDER. Unless applicable law grants you more rights, you will use the Software only as expressly permitted here and in accordance with its technical limitations. You will not:
- Bypass or circumvent technical limitations.
- Alter, modify, or create derivative works of the Software, or ask others to do so on your behalf.
- Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by law.
- Make the Software or any part of it publicly available for copying.
- Distribute, rent, lease, lend, sublicense, or provide the Software as a service to third parties outside your organization.
- Transfer the Software or this agreement to any third party.
All rights not expressly granted are reserved by PROVIDER.
Backup copy
You may retain backup copies of configuration artifacts (parameters, connection settings) solely for reinstalling or restoring your permitted deployment of the Software.
Documentation
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use our documentation solely for your internal business purposes. You may make a reasonable number of internal copies, provided you keep all proprietary notices intact and do not distribute the documentation outside your organization.
Software enhancement plan (maintenance)
If purchased or included with your plan, a maintenance entitlement grants access to updates and standard support while the plan is active. For subscription plans, maintenance benefits are included during the active subscription term. For any non-subscription license type, initial maintenance may be required for the first year and renewable annually. If maintenance lapses, the related benefits end.
Update rights
While your subscription or maintenance is active, you are entitled to use the latest available version of the Software for your plan. Updates do not include implementation, upgrade, migration, or customization services; these are provided under a separate statement of work.
Support rights
Active subscription or maintenance includes standard support for the then-current, supported versions of the Software and its standard features. Support excludes customizations or adaptations you or third parties implement. We may require that you reproduce issues in a standard, isolated environment to facilitate troubleshooting. Support channels and availability are as specified on our website and are subject to change.
Adaptations or customizations
Customizations, integrations, and automations beyond standard features are provided by PROVIDER (or an authorized partner) under a separate statement of work. Modifying the Software's code, packaging, or security model is not permitted except by PROVIDER. If your connected systems are customized, additional services may be required to ensure compatibility; such services are not included in license or maintenance fees.
Unless otherwise agreed in writing, PROVIDER retains all intellectual property in customizations, templates, and tools developed by or for PROVIDER; you receive a license to use such deliverables with the Software in your tenant. Feedback you provide may be used by PROVIDER to improve the Software without restriction or obligation.
Intellectual property notices
Silver Sea Enterprise LLC, Dashboard 4 CPA, GPS4CPA, and associated marks, templates, and content are protected intellectual property of PROVIDER. You are not granted access to source code or unprotected design assets. All rights not expressly granted are reserved.
Legal effects
This agreement describes certain legal rights. You may have additional rights under the laws of your jurisdiction. This agreement does not alter rights you cannot waive by contract.
Disclaimer of warranty
THE SOFTWARE IS PROVIDED “AS IS.” YOU BEAR THE RISK OF USING IT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER GIVES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation and exclusion of remedies and damages
TO THE FULLEST EXTENT PERMITTED BY LAW, PROVIDER'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL YOU BE ENTITLED TO RECOVER CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR INCIDENTAL DAMAGES (INCLUDING LOST PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR INTERRUPTION), EVEN IF PROVIDER KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation applies to (a) matters related to the Software; (b) services; (c) content, including code, hosted on third-party sites; and (d) third-party software or services. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases these limitations apply to the maximum extent permitted by law.
Indemnification
You agree to indemnify and hold harmless PROVIDER, its affiliates, and personnel from third-party claims and reasonable legal fees arising from (a) your unlawful use of the Software; (b) your breach of these terms; or (c) your violation of applicable laws or third-party rights.
Third-party services
The Software interoperates with third-party platforms (for example, Microsoft Power BI and the source systems you connect). Your use of those platforms is governed by their respective terms and policies. PROVIDER is not responsible for third-party services, their availability, or changes they make that affect the Software's operation.
Term, suspension, termination
Your right to use the Software continues for the term of your plan and any renewals, subject to your continued compliance. We may suspend or terminate your rights immediately in the event of a material breach, security threats, abuse, or non-payment. Upon termination, your access to the Software ceases; your data remains in your systems, and you are responsible for exporting any artifacts you require.
Governing law
This agreement is deemed to have been made, executed, and delivered in the State of Texas and is construed in accordance with the laws of the State of Texas without reference to conflict-of-law principles.
Product privacy and data protection
Dashboard 4 CPA connects within your Microsoft environment to source systems you authorize (for example, CCH Axcess Data Axcess Utility or Practice CS). Connection, refresh, and permissions are managed in your environment per your configuration. No outbound data flow to Silver Sea occurs by default, and the Software does not transmit your content or metrics to Silver Sea-controlled servers.
If you request support that requires temporary access, you may grant time-bound, least-privilege access or share redacted samples at your discretion; such access is governed by confidentiality terms and, where applicable, a Data Processing Addendum. Personal data collected through the Website is handled as described in our privacy policy.
Disclaimers
- No professional advice. Dashboard 4 CPA is an analytics and automation solution. It does not provide tax, legal, or accounting advice and is not a substitute for professional judgment.
- Third-party platforms. Functionality and availability may depend on third-party systems (Microsoft services, CCH Axcess, Practice CS). Silver Sea is not liable for outages, configuration issues, version differences, or changes in those platforms.
- Feature variability. Features may vary by plan, version, connected systems, tenant configuration, and permissions.
- Service model. Silver Sea does not operate Dashboard 4 CPA as a hosted application or store your tenant data; our role is limited to providing software, templates, and optional services you engage.
Updates to these terms
Silver Sea may update these terms from time to time to reflect operational, legal, or regulatory changes; the date above will be revised accordingly. Your continued use of the Software after changes take effect constitutes acceptance of the updated terms. If these terms are translated, the English version controls where permitted by law.
